    Welcome to We Vote Project, the website that believes every citizen is a stakeholder in their community and should have a voice in its governance.wevoteproject.org provides an assortment of web based resources, including but not limited to, government date, information, profiles, news, political tracker, advertisements, blogs, email services, links to third party sites, etc. (referred to hereafter as “the Service”), available at the URL wevoteproject.org (the "Site"), that are subject to the following Terms of Use ("Terms"). By accessing or using our web site at wevoteproject.org or the mobile version thereof (together the "Site"), you (the "User") signify that you have read, understand and agree to be bound by these Terms of Use ("Terms of Use" or "Agreement"), whether or not you are a registered member of We Vote Project. By using the Site or the Service in any way, you agree to fully comply with these Terms. In addition, We Vote Project reserves the right, at its sole discretion, to alter, modify, add, or remove portions of these Terms of Use at any time without further notice. You can always review the most current version of these Terms at http://wevoteproject.org/about/terms. You understand and agree that you are solely responsible for reviewing these Terms periodically from time to time to keep yourself acquainted with any modifications. Your continued use of the Service or the Site after any such changes to the Terms of Use constitutes your acceptance and agreement of the new Terms of Use. Please report any violation of these Terms of Use to support@wevoteproject.org.Should you object to any term or condition of these Terms of Use, any guidelines, or any subsequent modifications thereto or become dissatisfied with We Vote Project in any possible way, your only recourse is to immediately discontinue use of the Site and the Service. We Vote Project will not be held be liable for any loss or damage for non-compliance. We Vote Project has the right, but is not obligated, to strictly enforce the Terms through self-help, community moderation, active investigation, litigation and prosecution, etc. You understand and agree that unless expressly stated, We Vote Project in no way controls, verifies, endorses, or is responsible for any of the information contained on or in the Service including listings, links, messages, advertisements and reviews, etc.

  2. REGISTRATION

    Although registration is not required to use some of the Service or access to the Site, if you decide to register, you must complete the We Vote Project registration process. If you choose to register, you (a) agree to submit accurate, current, and complete information; (b) you must submit a valid e-mail address and select a username and password during the registration process and (c) be at least 16 years of age; (d) you are wholly responsible for maintaining the confidentiality of your username and password, and all uses of your account, whether or not you have authorized such use; (e) you agree to maintain and promptly update the registration data and any other information you provide to We Vote Project, to keep it accurate, current, and complete; (f) You agree to notify We Vote Project immediately of any unauthorized use of your account.We Vote Project reserves the right to refuse the Service or access to the Site to any user, or to delete fraudulent accounts like the ones created by users who appropriate the name, likeness, email address or other personally identifiable information of another individual, business, or other entity.

  3. PROPRIETARY RIGHTS AND LIMITED LICENSE OF SITE

    All content on the Site and available through the Service, including designs, text, graphics, pictures, video, information, applications, software, music, sound and other files, and their selection and arrangement (the "Site Content"), are the proprietary property of the We Vote Project, its users or its licensors with all rights reserved. No Site Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without the We Vote Project’'s prior written permission, except that the foregoing does not apply to your own User Content (as defined below) that you legally post on the Site. Provided that you are eligible for use of the Site, you are granted a limited license to access and use the Site and the Site Content and to download or print a copy of any portion of the Site Content to which you have properly gained access solely for your personal, non-commercial use, provided that you keep all copyright or other proprietary notices intact. Except for your own User Content, you may not upload or republish Site Content on any Internet, Intranet or Extranet site or incorporate the information in any other database or compilation, and any other use of the Site Content is strictly prohibited. Such license is subject to these Terms of Use and does not permit use of any data mining, robots, scraping or similar data gathering or extraction methods. Any use of the Site or the Site Content other than as specifically authorized herein, without the prior written permission of We Vote Project, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws including copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these Terms of Use shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication or otherwise. This license is revocable at any time without notice and with or without cause.

  4. TRADEMARKS AND COPYRIGHT

    We Vote Project and other We Vote Project graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks, trademarks or trade dress of We Vote Project in the U.S. and/or other countries. We Vote Project’s trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion and may not be copied, imitated, or used, in whole or in part, without the prior written permission of the We Vote Project. All right, title and interest in and to the Site and the Service are and will remain the exclusive property of We Vote Project and its licensors.We Vote Project respects the intellectual property rights of others and expects users of the Site to do the same. You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information that you do not have legal authorization to use. If you believe that through the Service your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, please immediately notify us at support@wevoteproject.org. Filing a notice of infringement with We Vote Project requires compliance with the requirements specified in Title II of the Digital Millennium Copyright Act of 1998. The text of this statute can be found at the U.S. Copyright Office web site. We Vote Project will attempt to promptly remove or disable access to the allegedly infringing material and terminate the accounts of repeat infringers in accordance with the Digital Millenium Copyright Act.

  5. CONTENT

    You understand that all listings, messages, text, files, profiles, images, photos, video, audio or any other materials ("Content") posted on, transmitted through, or linked from the Site are the sole responsibility of the person or organization from whom such Content originated.Moreover, you the user are entirely responsible for each individual item ("Item") of Content that you post, email or otherwise make available via the Service. You understand that We Vote Project does not control, and is not responsible for Content made available through the Site, and that by using the Site, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. Please see our Prohibited Content page for complete details. Furthermore, the We Vote Project Service and Content available through the Site may contain links to other websites, which are completely independent of We Vote Project. We Vote Project makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site. Your linking to any other websites is at your own risk. You agree that you must evaluate, and bear all risks associated with, the use of any Content on the Site. Under no circumstances will We Vote Project be liable in any way for any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, linked or otherwise made available via the Site. You also understand and agree that any uploading or posting will be at your sole risk and We Vote Project shall not be responsible to you in any way. Moreover, We Vote Project does not provide any warranty as to your use of third-party content or software that you obtain from the Site. You are also fully responsible for any Content you post on the Site and to the consequences of any such Content. Although We Vote Project does not claim ownership of Content that its users post, by posting Content to the Service, you automatically grant, and you represent and warrant that you have the right to grant, to We Vote Project an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, perform, display and distribute said Content and to prepare derivative works of, or incorporate into other works, said Content, and to grant and authorize sublicenses through multiple tiers of the foregoing. You also acknowledge that We Vote Project does not pre-screen or approve Content, but that We Vote Project shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available via the Site, for violating the letter or spirit of the Terms of Acceptance or for any other reason.

  6. USER CONDUCT

    When using this Site you agree to act responsibly and to treat other users respectfully. Users also must not use the Site or the Service to harass or abuse other users. Individuals who have demonstrably harassed other individuals may be removed from the Service or blocked from the Site. We Vote Project does its best to keep the Site safe and clean, but we cannot guarantee it. We Vote Project needs your assistance the Users help in doing this and your commitment to:

    1. You agree not to post, email, and otherwise make available any form of Contentthat: Is unlawful, fraudulent, harassing, libelous, abusive, threatening, harmful,bigoted, racially offensive, obscene or otherwise objectionable.
    2. Advertises any illegal services or the sale of any items prohibited or restricted by applicable law.
    3. Is harmful to minors or displays sexually explicit material of any kind that isPornographic, or that contains a link to or the promotion of adult websites, ordepicts a human or animated character being engaged in actual sexual conductincluding but not limited to (i) sexual intercourse, including genital-genital, oral-genital, anal-genital, or oral-anal, whether between persons of the same oropposite sex, or (ii) bestiality, or (iii) masturbation, or (iv) sadistic or masochisticabuse, or (v) lascivious exhibition of the genitals or pubic area of any person, or(vi) any other material which We Vote Project may deem explicit or inappropriate.
    4. Encourages conduct that could constitute a criminal offense, gives rise to civilliability or otherwise violates any applicable local, state, national or internationallaw, regulation, or treaty.
    5. Transmits or posts any unsolicited or unauthorized advertising, instant messaging,"spam,” junk mail, "chain letters," "pyramid schemes," etc.
    6. Transmits or posts any content that infringes upon patents, trademarks, tradesecrets, copyrights or other proprietary rights
    7. Transmits, uploads, or posts any viruses, malicious code, or material designed todisrupt, limit or destroy any functionality of any computer software or hardwareof users, members or the We Vote Project service or do anything that coulddisable, overburden, or impair the proper function of We Vote Project, such as adenial of service attack
    8. Collects, stores or solicits information about other users or members forcommercial or unlawful purposes or engage in commercial activity such ascontests, sweepstakes, etc. without We Vote Project’s prior consent
    9. Contains personally identifiable information about another member that ispublished without their express consent
    10. Contains material originally posted by another member that is reposted withoutpermission or attribution
    11. Has misleading email addresses or other manipulated identifiers to disguise itsorigin
    12. Is purposefully posted in an irrelevant category or city, repeatedly post the sameor similar Content or otherwise impose an unreasonable or disproportionatelylarge load on We Vote Project’s infrastructure
    13. Have restricted or password protected access pages or hidden pages or images i.e.those not linked to or from another accessible page
    14. Upload, post, transmit, share, store or otherwise make available content that, inthe sole judgment of We Vote Project, is objectionable or which restricts orinhibits any other person from using or enjoying the Site, or which may exposeWe Vote Project or its users to any harm or liability of any type.
    15. Upload, post, transmit, share, store or otherwise make publicly available on theSite any private information of any third party, including, addresses, phonenumbers, email addresses, Social Security numbers and credit card numbers;
    16. Solicit login information or access an account belonging to someone else
    17. Engage in unlawful multi-level marketing, such as a pyramid scheme, onWe Vote Project or offer any contest, giveaway, sweepstakes, promotion, withoutthe prior written consent of We Vote Project, in which, you would take 100%responsibility and liability.
    18. Use of any automated system, including without limitation “robots,” “spiders,”“offline readers,” etc., to access the Service in a manner that sends more requestmessages to the We Vote Project servers than a human can reasonably produce inthe same period of time by using a conventional on-line web browser (exceptthat We Vote Project grants the operators of public search engines revocablepermission to use spiders to copy materials from We Vote Project.com for thesole purpose of and solely to the extent necessary for creating publicly availablesearchable indices of the materials);
    19. Creation of multiple and/or fictitious accounts;
    20. Circumvention of measures we may use to prevent or restrict access to theService, including without limitation features that prevent or restrict use orcopying of any content or enforce limitations on use of the Service or thecontent therein.
    Additionally, you agree not to:Contact anyone who has asked not to be contacted"Stalk" or otherwise harass anyoneDelete or revise any material posted by any other userImpersonate any person or entity or falsely state or misrepresent your affiliation with another person or entityUse automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from the SiteAttempt to gain unauthorized access We Vote Project computer systems or networks to engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service or the Site

  7. PAID POSTINGS

    Creating an account and/or accessing We Vote Project is free. However, We Vote Project reserves the right to charge a fee to post Content in some areas of the Service and to change those fees from time to time. The fee is an advertising or special access fee permitting Content to be posted in a designated area. Each party posting Content to the Service is responsible for said Content and compliance with the “Terms of Use.” All fees paid will be non-refundable in the event that Content is removed from the Service for violating the “Terms of Use.”Unless otherwise stated, all fees are quoted in U.S. Dollars. You are responsible for paying all fees and applicable taxes associated with our sites and services in a timely manner with a valid payment method. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms like: charging other payment methods on file with us, retaining collection agencies and legal counsel, and for accounts over 180 days past due, deducting the amount owed from your account balance.)

  8. NO SPAM POLICY

    You understand and agree that sending unsolicited email advertisements to We Vote Project e-mail addresses or through We Vote Project computer systems, which is expressly prohibited by these Terms, will use or cause to be used servers located in California. Any unauthorized use of We Vote Project computer systems is a violation of these Terms and certain federal and state laws, including without limitation, the Computer Fraud and Abuse Act (18 U.S.C. § 1030 et seq.), Section 502 of the California Penal Code and Section 17538.45 of the California Business and Professions Code. Such violations may subject the sender and his or her agents to civil and criminal penalties.

  9. DEALINGS WITH ENTITIES OR INDIVIDUALS

    We Vote Project shall not be liable for your interactions with any entities and/or individuals found on the Site or through the Service. This includes, but is not limited to, payment and delivery of goods and services, and any other terms, conditions, warranties or representations associated with such dealings. These dealings are solely between you and such entities and/or individuals. You agree that We Vote Project is not responsible for any damage or loss incurred as a result of any such dealings. We Vote Project is under no obligation to become involved in disputes between participants on the Site, or between participants on the Site and any third party. In the event of a dispute, you release We Vote Project, its officers, employees, agents and successors in rights from claims, damages and demands of every kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and our service.If you are a California resident, you waive California Civil Code Section 1542, which states: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."

  10. LIMITATION AND TERMINATION OF SERVICE

    You acknowledge that We Vote Project may establish limits concerning use of the Service, including the maximum number of days that Content will be retained by the Service, the maximum number and size of postings, email messages, or other Content that may be transmitted or stored by the Service, and the frequency with which you may access the Service. You agree that We Vote Project has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Service. You acknowledge that We Vote Project reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice, and that We Vote Project shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.You agree that We Vote Project in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Site (or any part thereof), immediately and without notice, and remove and discard any Content within the Site, for any reason, including, without limitation, if We Vote Project believes that you have acted inconsistently with these Terms of Use. Further, you agree that We Vote Project shall not be liable to you or any third-party for any termination of your access to the Site. Further, you agree not to attempt to use the Site or the Service after said termination.

  11. PRIVACY AND INFORMATION DISCLOSURE

    We Vote Project has a Privacy Policy that explains to users how their information is collected and used. A copy of the current version of our Privacy Policy can be found at https://wevoteproject.com/privacy. Your use of the Site or the Service signifies acknowledgement of and agreement to our Privacy Policy.You further acknowledge that We Vote Project may, in its sole discretion, preserve or disclose your Content, as well as your information, such as email addresses, IP addresses, timestamps, and other user information, if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to comply with the legal process, enforce these Terms, respond to claims that any Content violates the right of third-parties; or to protect the rights, property, or personal safety of We Vote Project, its users or the general public.

  12. DISCLAIMER OF WARRANTIES

    THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE BASIS. YOU EXPRESSLY AGREE THAT USE OF THE SITE, THE SERVICE OR THE CONTENT IS AT YOUR SOLE RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF FILES, SOFTWARE, SERVICES AND/OR ANY GRAPHICS OR OTHER CONTENT. THE SITE, THE SERVICE, AND THE CONTENT ARE PROVIDED ON AN "AS IS" BASIS. WE VOTE PROJECT, ITS LICENSORS AND SUPPLIERS EXPRESSLY DISCLAIM ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE VOTE PROJECT, ITS LICENSORS OR SUPPLIERS CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF THE SITE AND/OR THE SERVICE AND/OR ANY PLATFORM APPLICATIONS. NEITHER WE VOTE PROJECT, NOR ITS LICENSORS OR SUPPLIERS MAKE ANY WARRANTY THAT THE SITE, THE SERVICE OR THE CONTENT WILL MEET YOUR REQUIREMENTS, OR THAT THE SITE OR THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR DOES WE VOTE PROJECT ITS LICENSORS OR SUPPLIERS MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR AS TO THE ACCURACY, TRUTHFULNESS OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE OR THAT DEFECTS IN THE SITE WILL BE CORRECTED. WE VOTE PROJECT ALSO DOES NOT REPRESENT OR WARRANT THAT SOFTWARE, CONTENT OR MATERIALS ON THE SITE, THE SERVICE OR ANY PLATFORM APPLICATIONS ARE ACCURATE, COMPLETE, RELIABLE, CURRENT OR ERROR-FREE OR THAT THE SITE OR SERVICE ITS SERVERS, OR ANY PLATFORM APPLICATIONS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THEREFORE, YOU SHOULD EXERCISE CAUTION IN THE USE AND DOWNLOADING OF ANY SUCH SOFTWARE, CONTENT OR MATERIALS AND USE INDUSTRY-RECOGNIZED SOFTWARE TO DETECT AND DISINFECT VIRUSES. WE VOTE PROJECT DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE WE VOTE PROJECT SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, AND WE VOTE PROJECT WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

  13. LIMITATIONS OF LIABILITY

    IN NO EVENT SHALL WE VOTE PROJECT, OR ITS DIRECTORS, EMPLOYEES OR AGENTS NOR ITS LICENSORS OR SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, RESULTING FROM THE USE OR THE INABILITY TO USE THE SITE, THE SERVICE OR THE CONTENT, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA, DATE OR BUSINESS OPPORTUNITY, EVEN IF WE VOTE PROJECT IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE VOTE PROJECT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.FURTHER, WE VOTE PROJECT SHALL HAVE NO LIABILITY TO YOU OR OTHER THIRD PARTIES FOR ANY THIRD PARTY CONTENT UPLOADED ONTO OR DOWNLOADED FROM THE SITE.NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, WE VOTE PROJECT'S AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID IN THE PAST 12 MONTHS, IF ANY, BY YOU TO WE VOTE PROJECT FOR THE SERVICE DURING THE TERM OF MEMBERSHIP, BUT IN NO CASE WILL THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED $100. YOU ACKNOWLEDGE THAT IF NO FEES ARE PAID TO COMPANY FOR THE SERVICE, YOU SHALL BE LIMITED TO INJUNCTIVE RELIEF ONLY, UNLESS OTHERWISE PERMITTED BY LAW, AND SHALL NOT BE ENTITLED TO DAMAGES OF ANY KIND FROM COMPANY, REGARDLESS OF THE CAUSE OF ACTION. THE LIMITATIONS OF DAMAGES SET FORTH HEREIN ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN WE VOTE PROJECT AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, WE VOTE PROJECT'S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

  14. INDEMNITY

    YOU HEREBY AGREE, AT YOUR EXPENSE, TO INDEMNIFY, DEFEND AND HOLD WE VOTE PROJECT, IT SUBSIDIARIES AND AFFILIATES,A ND EACH OF THEIR DIRECTORS, OFFICERS, AGENTS, CONTRACTORS, PARTNERS, AND EMPLOYEES, HARMLESS FROM AND AGAINST ANY LOSS, CLAIM, COST, DEMAND, DAMAGES, LIABILITY, AND/OR EXPENSE INCLUDING REASONABLE ATTORNEY’S FEES, ARISING OUT OF OR RELATING TO (A) ANY USER CONTENT, (B) SOFTWARE OR CONTENT, (C) THIRD PARTY CLAIMS, ACTIONS OR ALLEGATIONS OF INFRINGEMENT BASED ON INFORMATION, DATA OR CONTENT YOU SUBMITTED IN CONNECTION WITH THE SERVICE, (D) ANY FRAUD, MANIPULATION OR OTHER BREACH OF THESE TERMS BY YOU, OR (E) THIRD PARTY CLAIMS, ACTIONS OR ALLEGATIONS BROUGHT AGAINST WE VOTE PROJECT ARISING OUT OF YOUR USE OF THE SERVICE OR THE SITE, (F) YOUR CONDUCT WITH THE SERVICE OR THE SITE OR WITH OTHER USERS OF THE SERVICE OR THE SITE, (G) OR ANY VIOLATION OF THIS AGREEMENT OR OF ANY LAW OR THE RIGHTS OF ANY THIRD PARTY.

  15. ASSIGNMENT

    This Agreement, and any rights and licenses granted hereunder, may be neither assigned nor transferred by you, but may be assigned or transferred by We Vote Project without restriction.

  16. GENERAL

    A. GOVERNING LAW: You agree that: (i) the Service shall be deemed solely based in Nebraska; and (ii) the Service shall be deemed a passive one that does not give rise to personal jurisdiction over We Vote Project, either specific or general, in jurisdictions other than Nebraska. This Agreement shall be governed by the internal substantive laws of the State of Nebraska, without respect to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. Any claim or dispute between you and We Vote Project that arises in whole or in part from the Service shall be decided exclusively by a court of competent jurisdiction located in Nuckolls County, Nebraska, unless submitted to arbitration as set forth in the following paragraph.B. ARBITRATION: For any claim (excluding claims for injunctive or other equitable relief) under this Agreement where the total amount of the award sought is less than $10,000, the party requesting relief may elect to resolve the dispute through binding non-appearance-based arbitration. The party electing such arbitration shall initiate the arbitration through an established alternative dispute resolution ("ADR") provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: a) the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, as selected by the party initiating the arbitration; b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and c) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.C. NOTIFICATION PROCEDURES: We Vote Project may provide notifications, whether such notifications are required by law or are for marketing or other business related purposes, to you via email notice, written or hard copy notice, or through posting of such notice on our website, as determined by We Vote Project in our sole discretion. We Vote Project reserves the right to determine the form and means of providing notifications to our Users, provided that you may opt out of certain means of notification as described in this Agreement. We Vote Project is not responsible for any automatic filtering you or your network provider may apply to email notifications we send to the email address you provide us.D. ENTIRE AGREEMENT/SEVERABILITY: This Agreement, together with any amendments and any additional agreements you may enter into with We Vote Project in connection with the Service, shall constitute the entire agreement between you and We Vote Project concerning the Service. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.E. NO WAIVER: No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and We Vote Project’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
